Terms of Purchase for Companies
These terms and conditions apply to purchases made by companies, associations and other legal entities.
Applicability
When selling to legal entities, the Swedish Purchase Act (1990:931) applies. These terms and conditions, together with any order confirmation, constitute the complete agreement between Ceon AB and the buyer.
Prices and Payment
- VAT: Prices are stated excluding VAT unless otherwise stated.
- Payment methods: Businesses are offered payment via the methods available in Kustom Checkout (e.g. invoice, card, or direct payment).
- Credit information: When choosing an invoice or installment payment, we reserve the right to have our partners carry out a credit check.
- Delay: In case of late payment, default interest according to the Interest Act (reference interest rate + 8 %) and a statutory late payment fee of currently SEK 450.
- Reservation of ownership: All goods remain the property of Ceon AB until full payment has been made.
No right of withdrawal
Purchases made by companies are binding. The right of withdrawal or open purchase does not apply to corporate customers, unless a written agreement to the contrary has been made prior to the purchase.
Delivery and Responsibility
- Delivery terms: Delivery is free from our warehouse (Ex Works) unless otherwise agreed. The risk for the goods passes to the buyer when the goods have been handed over to the carrier.
- Limitation of liability: Ceon AB is not liable for the buyer's indirect losses, such as loss of profit, loss of production or other consequential damages resulting from delivery delay or defects in the goods. Our liability for compensation is limited to the purchase price of the goods.
Duty to investigate & Complaints
The buyer must examine the goods immediately upon receipt. Any defects or transport damage must be reported in writing to info@ceonab.se within 5 working days. After this time the product is considered approved. The right of complaint for companies is limited to 1 year from the date of delivery.
Force Majeure & Reservations
Ceon AB is not responsible for delays caused by circumstances beyond our control (e.g. strike, fire, government decisions or telecommunications disruptions). We reserve the right to final sales and any pricing and proofreading errors on the website.
Unclaimed packages
For packages that are not picked up or that are returned due to incorrect address information, a fee of SEK 350 excluding VAT will be charged to cover our actual shipping and handling costs.
GDPR (Contact persons)
We process personal data of contact persons at corporate customers to be able to administer orders, delivery and invoicing. See our full privacy policy for more information.
Dispute resolution
Disputes between corporate customers and Ceon AB shall primarily be resolved through negotiation. If the parties do not agree, the dispute shall be settled in a Swedish general court with Halmstad District Court as the first instance.
